TORONTO: The Board of Directors of Sentry Select Capital Corp. is pleased to announce the appointment of an Independent Review Committee (the “IRC”). The IRC was established in compliance with National Instrument 81-107 to provide independent oversight and impartial judgement on conflicts of interest involving Sentry Select funds. “The IRC plays an important role in our commitment to high standards in corporate governance. We look forward to working with its members to ensure we always act in the best interests of our investors,” said John F. Driscoll, President and Chief Executive Officer.
Sentry Select Capital Corp. expects to be fully compliant with National Instrument 81-107 prior to November 1, 2007.
Independent Review Committee: The IRC is comprised of three members: Michael Gourley (Chairman), David C. Gavsie, and Marie C. Rounding.
Michael Gourley is a retired partner of PricewaterhouseCoopers LLP where he provided strategic advice to both public and private sector organizations across Canada. He has extensive experience in public finance and is a former Deputy Minister of Finance of the Province of Ontario. He has also held the position of Chief Executive Officer and Vice-Chair of the Ontario Financing Authority. Mr. Gourley brings extensive governance and regulatory experience to Sentry Select Capital Corp.’s IRC, having served as a member of several boards over the past two decades including the Hospital for Sick Children, The University of Western Ontario, the Canada Revenue Agency, the Ontario Innovation Trust and numerous other not-for-profit organizations. He is the President and Chief Executive Officer of his own consulting firm in Toronto.
David Gavsie is Chair of the Alcohol and Gaming Commission of Ontario (AGCO). Previously he was a senior partner at Ogilvy Renault LLP where he practiced law in the business law field. His practice included dealing with corporate governance matters. Mr. Gavsie has been the Chair of the Greater Toronto Marketing Alliance, the Ontario Chamber of Commerce, the Ottawa Airport Authority and other organizations. He was also Chair of the ICD Corporate Governance College at the Rotman School of Management, University of Toronto. He is a graduate from the Directors Education Program of that College. He is also a member of the Law Society of Upper Canada, the Bar of Quebec, and the Canadian and American Bar Associations.
Marie C. Rounding is Counsel at Gowling Lafleur Henderson LLP where she is a member of the National Energy and Infrastructure Industry Group. Ms. Rounding currently serves as a director of Ontario Power Generation and Nova Scotia Power Inc. and has a recognized background in regulatory and administrative law. Previously, she held a number of senior positions including Chair of the Ontario Energy Board; President and Chief Executive Officer of the Canadian Gas Association; Director of the Crown Law Office, Civil Law at the Ontario Ministry of the Attorney General; and Legal Director for the Ontario Ministry of Financial Institutions. She has been Chair of the board of directors of the Doctors Hospital, Canada’s National Ballet School, the National Ballet School Foundation, the Canadian Association of Members of Public Utility Tribunals, the Society of Ontario Adjudicators and Regulators and serves as a director on a number of other not-for-profit boards. In 2006, she graduated from the Directors Education Program and the Financial Literacy Program, both sponsored by the Institute of Corporate Directors and the Rotman School of Management Corporate Governance College. She holds an ICD.D designation.
